NuVoka Terms of Service

These Terms of Service ("Terms") govern your access to and use of the NuVoka Partner platform (the "Service"), operated by Iron Lion International ("NuVoka", "we", "us"). By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.

1) Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to create a contributor account. By registering, you represent that you meet this requirement and that all information you provide is accurate.

2) Account & Security

  • You are responsible for maintaining the confidentiality of your credentials.
  • You must notify us promptly at info@ironlioninternational.com if you suspect unauthorized access.
  • We may suspend or terminate accounts that violate these Terms or remain inactive for more than 12 months.

3) The Service

NuVoka is a language-learning platform that ingests, enriches, and surfaces Partner-Generated Content ("PGC") to learners. As a contributor you may:

  • Connect social media accounts (Instagram, YouTube, Bilibili, and others as supported).
  • Tag public posts with approved hashtags (e.g., #nuvoka) to opt content into the platform.
  • Review and enrich ingested posts with vocabulary, grammar, topics, and level data.
  • Earn Contribution Units ("CUs") based on learner engagement and content quality.

4) Content & Licensing

You retain full copyright ownership of your content. By submitting content to NuVoka you grant us a license under the NuVoka PGC Contributor License(presented during registration). Key points:

  • You grant NuVoka a perpetual, worldwide, non-exclusive license to use, display, transform, and create derivative works from your tagged content for the purpose of operating the Service and training language-learning models.
  • You may revoke future training and display rights at any time. Existing model weights and past payouts are unaffected by revocation.
  • You represent that you have the rights to license any content you submit and that it does not infringe any third-party rights.

5) Contribution Units & Payouts

  • CUs are calculated from learner engagement metrics and content quality scores.
  • CUs determine your share of the monthly contributor pool and your long-term model ownership stake (community cap: 49%; NuVoka retains at least 51%).
  • Payout amounts, schedules, and methods are at our discretion and may change with 30 days' notice.
  • We reserve the right to withhold payouts for content that is under review, flagged, or in violation of these Terms.

6) Social Media Integrations

When you connect a social media account, you authorize NuVoka to access your public content and profile information through that platform's API, subject to that platform's terms. You may disconnect any account at any time from your profile settings. Disconnection stops future ingestion but does not automatically remove previously enriched content (see Section 10).

7) Acceptable Use

You agree not to:

  • Submit content that is unlawful, defamatory, hateful, sexually explicit, or that promotes violence.
  • Submit content you do not own or have the right to license.
  • Manipulate engagement metrics, CU calculations, or quality scores.
  • Use the Service to scrape, harvest, or collect data about other users.
  • Reverse-engineer, decompile, or attempt to extract source code from the Service.
  • Use automated tools to access the Service except as we expressly permit.

8) Content Moderation

We review content for quality and compliance. We may remove, flag, or reject content at our sole discretion. Repeated violations may result in account suspension or termination. Moderation decisions can be appealed by emailing info@ironlioninternational.com.

9) Intellectual Property

Apart from your contributed content, all aspects of the Service (code, design, models, trademarks, data structures) are owned by NuVoka or its licensors and are protected by applicable intellectual property laws.

10) Termination & Data Deletion

  • You may close your account at any time from your profile or by emailing us.
  • We may suspend or terminate your access for any violation of these Terms.
  • Upon termination, we will delete your personal data within 30 days, subject to legal retention requirements and any outstanding payout obligations.
  • Previously enriched content may be retained in anonymized form if the PGC Contributor License permits.

11) Disclaimers

The Service is provided "as is" and "as available." We make no warranties, express or implied, regarding reliability, accuracy, availability, or fitness for a particular purpose. We do not guarantee any minimum level of CU earnings or payouts.

12) Limitation of Liability

To the maximum extent permitted by law, NuVoka's total liability to you for any claims arising from or related to the Service is limited to the amounts paid to you in the 12 months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages.

13) Indemnification

You agree to indemnify and hold harmless NuVoka and its officers, employees, and agents from any claims, damages, or expenses arising from your use of the Service, your content, or your violation of these Terms.

14) Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or in-app notice at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

15) Governing Law & Disputes

These Terms are governed by the laws of Singapore. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in Singapore under SIAC rules, unless prohibited by your local law.
